Konomic WhatsApp messaging platform and the “Konomic” app. Businesses only.

Summary
- This service is for businesses and professionals. It is not for consumers.
- Konomic connects your business’s WhatsApp number to Meta’s WhatsApp Business Platform and gives you notifications to your customers, an AI assistant and a CRM. The platform runs on services your business contracts in its own name.
- Your business follows WhatsApp’s and Meta’s policies, writes only to people who gave it permission, and is responsible for what it sends.
- The AI assistant can make mistakes. Your business supervises it.
- The price and the service level are in your order. Meta charges your business directly for WhatsApp messages that have a cost.
- Our liability has a limit (section 12).
- When the service ends, we remove our access and delete what we hold within 30 days; your data stays in your accounts.
- Spanish law applies. Section 17 explains which courts are competent.

These terms govern how a client business (“your business”) uses the Konomic WhatsApp messaging platform and the “Konomic” app (App ID 1411708813877592), registered by KONOMIC DIGITAL SL on Meta for Developers.
The agreement between your business and Konomic is made of three documents:
- the order or contract we sign with your business, which sets out what is contracted, the price, the term and the service level (here called “the order”);
- the data processing agreement (Art. 28 GDPR) we sign with your business;
- these terms.
Your business accepts these terms by signing the order, which cites them by version date. We keep a copy of every published version.
If the documents conflict, the order prevails, except for the obligations about Meta and WhatsApp in sections 4 and 5, which always prevail. On data protection, the data processing agreement prevails. These terms are published in Spanish and English; if the versions differ, the Spanish version prevails.
2. Businesses only
The service is only for businesses and professionals who use it in their business or professional activity. We do not offer it to consumers.
Anyone who accepts these terms on behalf of a business confirms that they act for it and can bind it.
3. What the service includes
Konomic provides the service as a technology provider (Tech Provider) that uses Meta’s WhatsApp Business Platform through its app “Konomic”. Depending on the order, the service includes:
- Connecting the number. We connect your business’s WhatsApp number to Meta’s WhatsApp Business Platform (Cloud API). In “coexistence”, the number also keeps working in the WhatsApp Business app on the phone.
- Notifications. Messages to your customers when the status of a booking or an order changes, and reminders. On your business’s instructions, also marketing messages to people who gave their consent. If WhatsApp fails, they may be sent by SMS.
- AI assistant. It answers your customers on WhatsApp, looks up the information your business makes available to it, registers booking requests and hands the conversation to a person when needed.
- CRM for your staff. Bookings, customer records, vehicles, orders and notifications. Your staff receive alerts through Telegram without customer data and, if your business turns it on, can look up orders, vehicles and bookings in a Telegram bot, without customers’ names or phone numbers.
Where it runs. Each business has its own installation of the platform, on services it contracts in its own name: server, storage and backups, AI, SMS, error tracking and staff messaging. Your business owns those accounts, pays their charges and is responsible for those contracts. We install the platform, maintain it and provide support.

4. Meta and WhatsApp terms
To use WhatsApp through Konomic, your business accepts the WhatsApp Business terms and Meta’s and WhatsApp’s policies directly with Meta. Those terms apply to your use of WhatsApp, in addition to these.
Meta decides about its platform. It can change its features, prices and policies, and it can restrict or disable a number, a template or an account. Those decisions are Meta’s, not Konomic’s. If they affect your service, we will tell you as soon as we know.
Meta Platform data. Your business will not process data it receives through Meta’s platform or WhatsApp in any way that would breach the Meta Platform Terms. In particular, it will not sell, license or buy it. It will not use it to surveil people, to discriminate against them, or to decide on their access to housing, employment, insurance, education, credit or public benefits. Nor will it build or add to profiles of people without their valid consent.
If Meta asks us to, or if your business breaks these obligations or Meta’s or WhatsApp’s policies, we may suspend or end the service immediately, without the cure period in section 14. If Meta tells us about a request from a person about their data, we will pass it on to you without delay. By turning on the Telegram alerts or bot, your business expressly directs us to deliver to it through Telegram what section 5.4 of the privacy policy describes.
5. What your business must do
Your business agrees to:
- follow the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy and any other Meta terms and policies that apply;
- write on WhatsApp only to people who gave it valid permission to receive its messages (opt-in), send marketing only to people who consented to it, and respect opt-outs;
- be responsible for the content of its messages, its templates and the information it gives the AI assistant;
- have a legal basis to process its customers’ and contacts’ data, and inform them as the GDPR requires;
- supervise the AI assistant (section 6);
- add its own payment method to its WhatsApp Business account for Meta’s charges;
- in coexistence, open the WhatsApp Business app on the phone of the connected number at least once every 14 days. Otherwise Meta may disconnect the number from the platform;
- keep its passwords and access keys secret, give access only to its authorised staff, and tell us straight away if it suspects unauthorised use;
- not use the service to send spam or for anything illegal.
If Meta, a message recipient or an authority makes a claim against Konomic because of your business’s messages, templates or contacts, because recipients did not consent, or because your business used the service against these terms or WhatsApp’s policies, your business takes on that claim. It pays the resulting fines, damages and reasonable defence costs, including lawyers, except for the part Konomic caused. Konomic tells you as soon as it learns of the claim and cooperates in the defence. The limit in section 12 does not reduce this obligation.
6. The AI assistant
The assistant writes its replies automatically with a third-party AI model (Claude, from Anthropic). It can make mistakes: give wrong or incomplete information, misunderstand the customer, or offer something your business does not provide. It replies on your business’s behalf.
Konomic develops the assistant and meets the transparency duty of the EU AI Act (Art. 50): the first time the assistant writes in each conversation, its message starts with a fixed sentence saying it is your business’s automated AI assistant and that a person will help on request. Your business does not present the assistant as a person and does not ask us to remove that notice.
That is why your business:
- decides what information it gives the assistant and keeps it up to date;
- reviews the conversations and the booking requests the assistant registers. The assistant registers requests; your staff confirm bookings;
- handles the conversations the assistant hands over to a person;
- can ask us to switch it off at any time.
7. Price, payment and service level
The price, the payment terms and, if agreed, the service level (availability, support hours and response times) are in the order. Meta charges your business directly for WhatsApp messages that have a cost, with the payment method your business adds to its WhatsApp Business account. The other services your business contracts (section 3) are invoiced by each provider. Konomic invoices only its own service.
Invoices are paid within the term in the order or, if it sets none, within 30 days of your business receiving them. Late payments bear the late-payment interest and the collection-cost compensation of Spanish Law 3/2004.
If the order sets no service level, we provide the service with professional care. We cannot guarantee that it will always work without interruptions or errors, because it also depends on Meta, on the AI, hosting and SMS providers, and on the internet.
8. Suspension of the service
We may suspend the service, in whole or in part, if:
- your business breaks WhatsApp’s or Meta’s policies, or these terms, or uses the service for anything illegal;
- an invoice is overdue and unpaid after we have told you in writing and given you at least 15 days to pay it;
- Meta or an authority requires it, or it is needed to avoid a serious security risk.
We tell you first and explain why, unless urgency or Meta does not allow it. When the cause is resolved, we restore the service. A suspension does not, by itself, delete your data.
9. Personal data
Konomic processes the data of your business’s customers, contacts and staff as a processor: only on your business’s behalf and following its instructions. Your business is the controller of that data. This is governed by the data processing agreement (Art. 28 GDPR) that we sign with your business, which prevails over these terms on this subject. Konomic processes the data it obtains from the WhatsApp Business Platform only in line with the WhatsApp Business terms and keeps appropriate technical and organisational security measures.
The data we process as controller, for example about your business’s contact persons or people who write to us, is explained in the privacy policy.
10. Confidentiality
Each party keeps secret the other’s non-public information that it learns through the service, such as data, prices, configuration or access keys. It uses that information only for the service and shares it only with people who need it to provide the service and are bound to keep it secret.
This does not apply to information that is already public, that the party already knew lawfully, or that the law or an authority requires it to disclose. This obligation continues after the service ends.
11. Intellectual property
The platform, its software and its documentation belong to Konomic or to those who license them to us. While the service lasts, your business may use them for its own activity. It may not copy, sell or pass them on to third parties, or try to obtain their source code, except as the law or the order allows.
Your business’s data and content (messages, templates, brand and customer information) remain its own. Your business allows us to use them only to provide the service.
12. Limit of liability
Konomic’s total liability for the service, for any cause, is limited to the greater of: what your business paid Konomic for the service in the 12 months before the event that caused the damage, or €1,000.
Konomic is not liable for lost profits, loss of business or customers, other indirect damage, or Meta’s decisions about its platform.
This limit and this exclusion do not apply:
- in case of wilful misconduct or gross negligence;
- to anything the law does not allow to be limited.
13. Force majeure and assignment
Neither party is liable for a delay or failure caused by events outside its reasonable control, such as outages at Meta, the AI, hosting or SMS providers, or the internet, while they last.
Konomic may transfer this contract to a company that continues its business by telling you in writing; if you do not agree, you may end the service without penalty within the following 30 days. Your business may transfer it with Konomic’s written consent.
14. Term and end of the service
The service starts when your business signs the order and lasts as long as the order says. If the order sets no term, either party may end it by giving the other 30 days’ written notice.
Either party may end it earlier if the other seriously breaks these terms or the order and does not fix it within 30 days of receiving written notice. We may also end it immediately in the cases in section 4, and if Meta stops allowing us to provide the service; in that case we tell you as soon as we know.
15. Your data when the service ends
Your installation’s data is in the services your business contracts, in its own name, and stays under its control. When the service ends, within the following 30 days:
- we remove our access, the WhatsApp access token from the configuration and the Konomic app’s subscription to your account;
- we delete any copy of your data that we hold ourselves, except what the law requires us to keep;
- if you ask, we first help you export your data in a structured, commonly used format, and then delete your installation or leave it in place, as you instruct.
16. Changes to these terms
We may change these terms. We will tell you by email at least 30 days before a change applies, and we will publish the new version here with its date. If you do not agree, you may end the service before that date, without penalty.
If the law or Meta requires us to make a change sooner, we will apply it when required, tell you as soon as possible and, if you do not agree, you may end the service without penalty within 30 days of our notice.
17. Governing law and courts
These terms are governed by Spanish law.
If your business has its registered office outside Spain, your business and Konomic submit to the courts of Santa Cruz de Tenerife (Art. 25 of Regulation (EU) 1215/2012). If your business has its registered office in Spain, the competent courts are those set by the Spanish Civil Procedure Act, unless the order says otherwise.
